International Business Transactions

Jonathan S. Berck has extensive experience practicing law abroad, having worked for many years for Shearman & Sterling in Frankfurt, Latham & Watkins in London, the International Finance Corporation, the private sector arm of the World Bank Group and as a professor of international business law. Mr. Berck speaks German and is licensed to practice as a solicitor in England and Wales. He is able to help companies of all sizes with their business needs in all international markets.

The Special Challenges of International Business Transactions

In an ever-changing and growing global market, it is important to understand the commercial and legal aspects of the target jurisdiction. When assisting a client with an international business transaction, Mr. Berck applies a “risk analysis” approach to guide careful and detail-oriented planning. He can assist his clients in locating suitable foreign and local partners, which often makes the difference in addressing problems of market acceptance and local regulatory issues. From issues of business formation to financing, he makes sure his clients consider all aspects of their international business growth:

  • Political Environments
  • Regulatory Environments
  • Competitive Environments
  • Currency Risks
  • Management Culture

This analysis is used as a touchstone in structuring a transaction that serves the client’s needs while identifying and limiting risk to the extent possible.

Mr. Berck has extensive experience negotiating and documenting international deals in both common law and civil law jurisdictions, and has worked with local counsel all over the world.
